TERMS OF USE AND SERVICE AGREEMENT
These Terms & Conditions (“Terms”) govern your access to and use of the website www.netvox.ng (“Website”) and all products and services offered by Netvox Networks Infrastructure Limited (“Netvox”, “Company”, “we”, “our”, or “us”).
By accessing our Website, requesting a quotation, or using any Netvox service, you acknowledge that you have read, understood and agree to be legally bound by these Terms.
1. About Netvox
Netvox Networks Infrastructure Limited is a Nigerian company providing technology, telecommunications and infrastructure solutions including, but not limited to:
- International Voice (Wholesale & Retail VoIP)
- SIP Trunking
- DID Number Services
- A2P SMS & Messaging Solutions
- SMPP Connectivity
- Outdoor Advertising & Digital Signage
- Mineral Trading & Export
- Government Advisory & Project Consultancy
- Other related technology services.
2. Definitions
For the purpose of these Terms:
Customer means any individual, company or organization purchasing or using our services.
Service means any product or service provided by Netvox.
Account means a customer account created for the use of Netvox services.
Network means all telecommunications systems operated directly or indirectly by Netvox.
Carrier means any upstream or downstream telecommunications operator or provider interconnected with Netvox.
3. Eligibility
To use our services you must:
- Be at least 18 years of age;
- Have the legal authority to enter into binding agreements;
- Provide accurate registration information;
- Comply with all applicable laws and regulations.
Business customers represent that they have authority to bind their organization.
4. Account Registration
Customers may be required to provide:
- Company registration details
- Contact information
- Valid identification
- Proof of address
- Tax information (where applicable)
- KYC documentation
- Other documents reasonably required for regulatory compliance.
Netvox reserves the right to approve, reject, suspend or terminate any account at its sole discretion.
5. Service Availability
Netvox will use commercially reasonable efforts to maintain service availability.
However, services may be interrupted due to:
- Scheduled maintenance
- Emergency maintenance
- Carrier outages
- Internet failures
- Power failures
- Regulatory directives
- Force majeure events
- Cybersecurity incidents
Netvox does not guarantee uninterrupted or error-free service.
6. Customer Responsibilities
Customers agree to:
- Keep account credentials secure.
- Pay invoices on time.
- Use services lawfully.
- Maintain accurate account information.
- Report security incidents immediately.
- Cooperate with fraud investigations.
Customers are responsible for all activities conducted through their accounts.
7. Acceptable Use
Customers shall not use Netvox services for:
- Illegal activities;
- Fraudulent telecommunications traffic;
- Wangiri (one-ring) fraud;
- CLI/Caller ID spoofing without authorization;
- Robocalling in violation of applicable laws;
- Spam SMS or unsolicited messaging;
- SIM box fraud;
- Traffic pumping;
- PBX hacking;
- Toll fraud;
- Denial-of-Service attacks;
- Distribution of malware;
- Any activity that threatens network integrity or violates applicable regulations.
Netvox may suspend or terminate services immediately where fraudulent or abusive activity is suspected.
8. Telecommunications Services
Voice, SMS and data services are provided subject to:
- Network availability;
- Routing availability;
- Carrier acceptance;
- Technical compatibility;
- Regulatory restrictions.
Call quality, routing and delivery depend on multiple third-party networks and cannot be guaranteed.
9. SMS Services
Customers using SMS or SMPP services agree that they will:
- Obtain all necessary end-user consents.
- Comply with anti-spam regulations.
- Respect sender ID requirements.
- Avoid prohibited content.
- Use approved messaging routes.
Netvox reserves the right to reject, filter or suspend SMS traffic that violates applicable laws or operator requirements.
10. Pricing
Service pricing is subject to change without prior notice unless otherwise agreed in writing.
Published pricing does not constitute a binding quotation.
Rates may change due to:
- Carrier pricing;
- Currency fluctuations;
- Regulatory changes;
- Taxation;
- Network costs.
11. Billing
Invoices shall be issued according to the agreed billing cycle.
Customers agree to review invoices promptly and notify Netvox of any billing disputes within the agreed dispute period. Failure to do so may constitute acceptance of the invoice.
12. Payment Terms
Unless otherwise agreed in writing:
- Payments are due on or before the invoice due date.
- Overdue invoices may attract interest where permitted by law.
- Netvox may suspend services for non-payment.
- Partial payments do not waive Netvox’s right to recover the outstanding balance.
13. Credit Facilities
Credit facilities are granted solely at Netvox’s discretion.
Netvox may:
- Reduce credit limits;
- Increase credit limits;
- Suspend credit;
- Withdraw credit facilities at any time based on payment history, risk assessments or operational considerations.
14. Fraud Prevention
Customers shall implement reasonable measures to prevent:
- Toll fraud;
- PBX compromise;
- SIP attacks;
- SMS abuse;
- Unauthorized account access.
Customers shall immediately notify Netvox upon becoming aware of any suspected fraudulent activity.
15. Suspension of Service
Netvox may suspend services where:
- Payment is overdue;
- Fraud is suspected;
- Security is compromised;
- Regulatory authorities require suspension;
- The customer breaches these Terms;
- Continued service may negatively impact the network or other customers.
16. Intellectual Property
All content on this Website, including logos, trademarks, graphics, software, documents and text, remains the exclusive property of Netvox or its licensors.
No content may be copied, reproduced or distributed without prior written permission.
17. Confidentiality
Both parties agree to maintain the confidentiality of:
- Commercial information;
- Technical documentation;
- Pricing;
- Network information;
- Customer information;
- Trade secrets.
This obligation survives termination of the business relationship.
18. Limitation of Liability
To the maximum extent permitted by law, Netvox shall not be liable for:
- Loss of profits;
- Business interruption;
- Loss of revenue;
- Loss of goodwill;
- Indirect or consequential damages;
- Third-party network failures;
- Force majeure events.
Netvox’s aggregate liability arising from any claim shall not exceed the amount paid by the customer for the affected service during the three (3) months immediately preceding the event giving rise to the claim, unless otherwise required by law.
19. Indemnity
Customers agree to indemnify and hold harmless Netvox, its directors, employees and affiliates from claims, damages, liabilities, losses and expenses arising from:
- Misuse of the services;
- Breach of these Terms;
- Violation of applicable laws;
- Infringement of third-party rights.
20. Force Majeure
Netvox shall not be liable for delays or failures caused by events beyond its reasonable control, including natural disasters, acts of government, war, civil unrest, strikes, pandemics, utility failures or telecommunications outages.
21. Privacy
The collection and processing of personal information is governed by the Netvox Privacy Policy, which forms part of these Terms.
22. Third-Party Services
Some services rely on third-party providers and carriers. Netvox is not responsible for failures or delays attributable to such third parties.
23. Website Use
You agree not to:
- Attempt unauthorized access to the Website or systems.
- Interfere with website security.
- Upload malicious software.
- Use automated tools to scrape or harvest content without permission.
24. Termination
Either party may terminate the service in accordance with the applicable service agreement.
Termination does not relieve the customer of any outstanding payment obligations incurred prior to termination.
25. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
26. Dispute Resolution
The parties agree to first attempt to resolve disputes through good-faith negotiations.
If the dispute cannot be resolved amicably, it shall be submitted to the competent courts of Nigeria, unless the parties agree in writing to another form of dispute resolution.
27. Amendments
Netvox may amend these Terms from time to time. Updated versions will be published on the Website, and continued use of the services constitutes acceptance of the revised Terms.

29. Entire Agreement
These Terms, together with any applicable service agreement, quotation, order form, acceptable use policy and privacy policy, constitute the entire agreement between Netvox and the customer regarding the use of the Website and services.
